Global Freelance Agreement

This Global Freelance Agreement ("Agreement") is made and entered into as of the user registration date, by and between

Pacific Ecommerces Services Limited , a company duly organized and existing under the laws of Hong Kong with its principal office located at UNIT 89, 3/F, YAU LEE CENTRE,NO.45, HOI YUEN ROAD, KWUN TONG, KOWLOON,HONG KONG ("Company"),

And

YOU as the platform user, an independent contractor ("Freelancer"), with Email, Cellphone, ID/Passport information registered at the platform.

The Company and Freelancer are each referred to as a "Party" and collectively as the "Parties."

1. Scope of Services

1.1. Services Provided: Freelancer agrees to provide the following services ("Services") to the Company:

Design services, including but not limited to graphic design, UI/UX design, and related tasks.
Project coding, including software development, coding, programming, and related technical work.
Consulting services, including strategic consulting, technical consulting, and other advisory services as required by the Company.
Content service, including but not limited to video, picture, articles creation and product introduction and evaluations as required by the Company.

1.2. Project Assignments: Specific tasks and projects will be assigned to Freelancer by the Company through written or electronic communication. Each project will include detailed specifications, timelines, and deliverables.

2. Compensation

2.1. Payment Terms: The Company agrees to pay Freelancer for the Services provided under this Agreement at the rates agreed upon for each project or on an hourly basis, as specified in the individual project assignment.

2.2. Payment Schedule: Payments will be made to Freelancer upon the completion of the Services and acceptance by the Company, or as otherwise agreed in the project assignment. Payments will be processed within [number of days] business days after receipt of the Freelancer's invoice.

2.3. Expenses: Unless otherwise agreed in writing, the Company shall not be responsible for any expenses incurred by the Freelancer in the performance of the Services.

3. Relationship of the Parties

3.1. Independent Contractor: Freelancer is an independent contractor and not an employee, partner, or agent of the Company. Nothing in this Agreement shall create any employer-employee relationship between the Parties.

3.2. No Authority to Bind: Freelancer shall have no authority to bind the Company in any manner or to enter into any agreement on behalf of the Company.

4. Confidentiality

4.1. Confidential Information: Freelancer agrees to keep confidential all non-public information provided by the Company, including trade secrets, business strategies, customer information, and other proprietary information ("Confidential Information").

4.2. Non-Disclosure: Freelancer shall not disclose, use, or allow access to any Confidential Information to any third party without the prior written consent of the Company, except as required by law.

5. Intellectual Property

5.1. Ownership: All work products, including designs, code, reports, and other deliverables created by the Freelancer under this Agreement, shall be the sole property of the Company. Freelancer agrees to assign all rights, title, and interest in the work product to the Company.

5.2. Moral Rights: Freelancer waives all moral rights relating to the work product and agrees that the Company may use, modify, and distribute the work product without any restrictions.

6. Term and Termination

6.1. Term: This Agreement shall commence on the date first above written and shall continue until terminated by either Party in accordance with the provisions of this Agreement.

6.2. Termination: Either Party may terminate this Agreement at any time, with or without cause, by providing [number of days] days written notice to the other Party. The Company shall pay Freelancer for all Services rendered up to the date of termination.

7. Warranties and Representations

7.1. Freelancer Warranties: Freelancer represents and warrants that:

The Services provided under this Agreement will be performed in a professional and workmanlike manner.
Freelancers have the necessary skills, experience, and qualifications to perform the Services.
The work product provided will not infringe upon any third-party rights, including intellectual property rights.

7.2. Company Warranties: The Company represents and warrants that it has the authority to enter into this Agreement and to engage Freelancer to perform the Services.

8. Indemnification Freelancer agrees to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with the Freelancer's performance of the Services, breach of this Agreement, or violation of any laws or regulations.

9. Governing Law and Dispute Resolution

9.1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of laws principles.

9.2. Dispute Resolution: Any disputes arising out of or in connection with this Agreement shall be resolved through good-faith negotiations between the Parties. If the dispute cannot be resolved amicably, it shall be submitted to arbitration in Hong Kong under the rules of the Hong Kong International Arbitration Centre (HKIAC). The decision of the arbitrator(s) shall be final and binding on the Parties.

10. Miscellaneous

10.1. Entire Agreement: This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, and negotiations, whether written or oral, relating to the subject matter hereof.

10.2. Amendments: This Agreement may be amended or modified only by a written agreement signed by both Parties.

10.3. Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

10.4. Notices: All notices under this Agreement shall be in writing and delivered to the addresses provided above by email, hand delivery, or certified mail.

IN WITNESS WHEREOF, the Parties have executed this Global Freelance Agreement as of the day and year first above written once YOU have registered at the website and become a user registered at the platform.
